CORPORATE ASSOCIATE ATTORNEY – TRANSACTIONAL

A leading AmLaw 100 firm is seeking a talented and motivated Associate Attorney to join its highly-regarded Corporate Transactions Practice Group in Baltimore. This is an exceptional opportunity to work on complex transactional matters in a collegial, fast-paced, and entrepreneurial environment with experienced corporate lawyers and sophisticated clients.

Candidate Profile:

  • JD from a top-tier law school with a strong academic record.

  • Active Bar Admission in Maryland, in good standing.

  • 2+ years of substantive experience in corporate and commercial transactions.

  • Experience in debt and equity finance, mergers and acquisitions, and loan restructurings.

  • Ability to manage deals independently and interface directly with clients.

  • Strong drafting, negotiation, and organizational skills.

  • Proven ability to work collaboratively in a fast-paced, team-oriented environment.

Key Responsibilities:

  • Structure, negotiate, and manage corporate and commercial transactions, including mergers, acquisitions, equity investments, financings and loan restructuring.

  • Advise clients on corporate governance matters and entity formation.

  • Draft and review a wide range of transactional documents, including operating agreements, shareholder agreements, and financing documents.

  • Collaborate with partners and senior associates on deal strategy and execution.

  • Build and maintain strong, trusted client relationships through excellent service and attention to detail.

Compensation & Benefits:

Competitive Compensation: Includes an annual salary range of $225,000 – $250,000, determined by experience and market factors, along with eligibility for discretionary bonuses.
